Patent Due diligence, as the name suggests is concerned with an investigation about a patent /portfolio of patents. Patent Due diligence is often performed prior to Business/ Patent acquisition, so that the potential purchaser knows more about the asset that it is acquiring.
Patent due-diligence investigation generally includes auditing of patent assets for various issues such as

  • To analyze if there is to reveal if there is any patent validity problem
  • to analyze the quality of the patent
  • Various other legal or technical issues that may be related to the patent asset to reveal
    patent enforceability problems
  • To analyze patent prosecution events to check if there are any hidden estoppelles
  • Apart from above mentioned there are many other issues that needs to be checked before deciding about acquiring a patent portfolio such as confirm inventorship / ownership of patents, to reveal if there is any contractual arrangements relating to the patents, such as licenses and material transfer agreements; to check if there are regulatory issues to be addressed etc
    Since the due-diligence activities generally concerns a patent portfolio which includes a large number of patents. Therefore, it becomes a costly affair to perform a due-diligence for the complete portfolio.
